The area of mergers and acquisitions (M&A) has made a major step forward in the last decade.
The regulation of contractual and other relations between the participants of M&A transactions has progressed significantly. In the course of long-standing participation in the largest and most complex transactions (continuously since the 1990s), we have gained a wealth of experience and expertise with regard to legal solutions that are suitable and good as well with regard to those that are not. We are able to focus on issues that are important and find ways, which constitute an additional value for all the participants of a transaction; this is an integral part of transactions nowadays.
The practice of due diligences has been changing as well. They used to be very detailed, while reports were descriptive and extensive. Today, it is not like that anymore. At Jadek & Pensa we dedicate considerable attention and effort to the rationalisation of due diligences, including by means of computer algorithms, which automatize the diligences, where possible. We focus due diligences on the areas which based on our vast experience we know are important for the client, and we always reduce the time and costs related to due diligence.
We see M&A as a search of common good, compromise and agreement, rather than as an adversary procedure. Our experience allows us to see the transaction through the eyes of the interlocutor, and our legal expertise enables us to find solutions for a smooth realisation of the economic interests of the transaction.
